The lecture will examine middle-market private company transactions, with an emphasis on (i) typical equity and asset purchase structures, (ii) key transaction documents, (iii) deal process management, and (iv) legal and accounting due diligence.  Work through a purchase agreement, corresponding disclosure schedules and a closing checklist, this lecture will provide insight into a general understanding of how middle-market private company transactions are negotiated and documented. Speaker Information Michael Ferkovic is a senior manager with five years of financial due diligence experience in BDO USA, LLP’s transaction advisory services group. In total, he brings more than eleven years of public accounting and consulting experience with Deloitte & Touche, PricewaterhouseCoopers and SS&G Parkland Consulting. He advises corporate and private equity clients providing comprehensive buy-side and sell-side financial due diligence services in the healthcare, restaurant, manufacturing & distribution, professional services, technology, and retail industries. Prior to joining BDO, He led a variety of both public and private company audit engagements in the manufacturing, healthcare, private equity and real estate industries. In addition, he consulted with middle-market companies on strategic planning, financial and operational performance improvement and bankruptcy and restructuring.   Mitchell Gecht is an associate in Benesch Friedlander, Coplan & Aronoff’s Corporate & Securities and Private Equity Practice Groups. He focuses his practice on the representation of private equity firms and their portfolio companies, emerging growth companies, established public companies, and other clients in U.S. and cross-border transactions.
